CORPORATE FINANCE AND M&A
Advise on all different forms of mobilisation of capital, including funding and equity structures and related security. Advise on all aspects of mergers and acquisitions, including any chapter 5 actions in terms of the Companies Act.
COMPANY LAW AND CORPORATE GOVERNANCE
Advise on all aspects of Company Law. Prepare of company statutory documents. Advise on all aspects of corporate governance, including the requirements in terms of the Companies Act, the King Code and Common Law.
COMPANY SECRETARIAL
Advise on duties of a company secretary. All CIPC related attendances.
GENERAL COMMERCIAL
Drafting of various commercial agreements, including lease, outsourcing, management agreements, marketing agreements and joint venture agreements.
DRAFTING OF OPINIONS
Advise clients on the legal implications of agreements. Consider and advise on current and proposed structures prepared by third parties.
